By creating a Norxio account or using our services, you agree to these terms. Please read them carefully.

1. Who we are

Norxio operates through a group of companies and regulated partner institutions, depending on the jurisdiction, product, and service made available to you.

The Norxio entity that provides or contracts with you for a service may vary based on your location, the country of onboarding, and the product documentation presented to you during application or account opening.

Our current operating entities include:

United States

Norxio Financial LLC, trading as Norxio Business Bank, with registered office at:

United Kingdom

Norxio Financial Limited, trading as Norxio, with registered office at:

Norxio Financial Limited is a private limited company incorporated in England and Wales under Company Number 16853151.

Norxio Financial Limited is not itself authorised or regulated by the UK Financial Conduct Authority as a bank, electronic money institution, or payment institution. In the United Kingdom, Norxio works with UK-authorised partners regulated by the Financial Conduct Authority to deliver payment-related services. Where client funds are handled through those partners, they are safeguarded in line with applicable UK regulatory requirements and the relevant partner terms.

Europe

European services may be provided through Norxio Financial Limited in partnership with regulated financial institutions or electronic money institutions authorised in the relevant European jurisdictions, subject to product availability, local laws, and applicable onboarding requirements.

Other jurisdictions

Norxio may expand into additional jurisdictions, including markets where services are subject to pending local licensing, registration, or regulatory approvals. Services are not offered in any jurisdiction unless Norxio has determined that they may be made available there through an appropriate legal, regulatory, or partner structure.

Across jurisdictions, Norxio provides business-focused technology, operational, and financial-services access relating to cross-border payments, foreign exchange, multi-currency account functionality, invoicing, trade-document workflows, payment operations, APIs, and related support services.

These Terms apply globally unless a jurisdiction-specific agreement, product disclosure, order form, partner agreement, or local terms state otherwise. If there is a conflict, the more specific applicable document will govern for that service or jurisdiction.

2. Your Norxio account

Norxio is designed for business use. You may apply for or use a Norxio account only if:

  • You are at least 18 years old
  • You are acting for a business, sole trader, partnership, company, or other eligible organisation
  • Your business is based in a jurisdiction supported by Norxio at the time of application
  • You have legal authority to act for the relevant business or organisation

You must provide complete, accurate, and up-to-date information before and after your account is opened. This includes information required for business verification, identity verification, beneficial ownership checks, authorised user checks, sanctions screening, fraud prevention, payment risk assessment, and other compliance or operational requirements.

You confirm that all information you provide to Norxio, or to our service and compliance partners through Norxio, is truthful, accurate, and not misleading.

You must promptly notify us if:

  • Information submitted during onboarding changes or becomes inaccurate
  • Your ownership structure, directors, beneficial owners, or authorised users change
  • Your business activity, expected transaction profile, or supported jurisdictions materially change
  • You suspect unauthorised access, fraud, or misuse of your account

You are responsible for:

  • Keeping login credentials, passkeys, passwords, verification codes, devices, and security methods secure
  • Ensuring that only authorised users access your account
  • Managing permissions for employees, contractors, or connected systems
  • Reviewing payment instructions before submission
  • Notifying Norxio immediately if you suspect your account or security credentials have been compromised

Subject to applicable law and any service-specific terms, you may be responsible for actions taken through your account where we reasonably believe the instruction came from you or an authorised user.

Norxio may refuse an application, request further information, pause onboarding, or decline to open an account where reasonably necessary for legal, compliance, operational, or risk reasons.

3. All the services

Depending on eligibility, availability, jurisdiction, pricing plan, and commercial agreement, Norxio may provide access to services such as:

  • Multi-currency business account functionality or related account access
  • Cross-border supplier and beneficiary payouts
  • Foreign exchange quotes and currency conversion
  • Batch payment workflows
  • Invoicing tools, including invoice creation, sending, tracking, and payment-linked records
  • Trade-document management and payment-supporting document workflows
  • Payment dashboards, operational visibility, and reporting
  • API access and related developer tools
  • Customer support, onboarding assistance, service notifications, and account communications

A feature shown on our website or platform may not be available to every customer, in every jurisdiction, in every currency, or for every payment corridor.

Norxio may suspend, delay, reject, restrict, or terminate access to any service where reasonably necessary, including where:

  • Required information has not been provided
  • Verification or compliance checks remain incomplete
  • We suspect fraud, financial crime, sanctions exposure, misuse, or unauthorised access
  • A customer, beneficiary, corridor, currency, transaction type, or business activity falls outside our or our partners’ risk appetite
  • We are required to act by law, regulation, court order, a regulator, a financial partner, or a payment scheme
  • You breach these Terms and Conditions or any related agreement

Funds, account access, and safeguarding

Where Norxio enables payment, account, or foreign exchange services through regulated partners, the treatment of funds, safeguarding arrangements, account structure, settlement processes, and related protections will be governed by the relevant service documentation and partner arrangements.

Unless expressly stated otherwise in writing:

  • Norxio is not a bank
  • A Norxio platform balance is not a bank deposit held directly with Norxio
  • Interest is not payable on balances made available through the Norxio platform
  • Deposit protection schemes may not apply in the same way as they do to ordinary bank deposits

Invoices and trade documents

Norxio may provide tools to create, upload, send, store, organise, and manage invoices, trade documents, supplier records, customer records, and payment-supporting materials.

You are responsible for ensuring that all invoices, trade documents, beneficiary details, supplier details, and supporting information you create, upload, or rely on through Norxio are accurate, complete, lawful, and suitable for your intended purpose.

Norxio does not provide legal, tax, customs, accounting, insurance, or trade-finance advice through its document and workflow tools unless expressly agreed in writing.

SMS and mobile communications

Norxio may send SMS or mobile messages in connection with:

  • Account onboarding and application updates
  • Security alerts and verification-related messages
  • Account servicing and support communications
  • Payment, transaction, or operational notifications
  • Other service-related communications connected to your use of Norxio

Where you separately opt in, Norxio may also send marketing or promotional SMS messages. Marketing consent, where required, is collected separately from transactional, service-related, or informational communications.

Message frequency may vary depending on your interactions with Norxio, your account activity, and the type of communications you have agreed to receive. Message and data rates may apply.

You may request help by replying HELP where supported. You may opt out of recurring SMS messages by replying STOP where supported, except where certain service, security, verification, or account-related messages are necessary to operate or protect your account. You may also contact [email protected].

Consent to receive marketing SMS is not a condition of purchasing or using Norxio services. Norxio’s SMS communications are primarily used for transactional, account-related, security, verification, onboarding, payment, and service-related purposes.

Norxio does not sell, rent, or share mobile information, SMS opt-in data, text messaging originator opt-in data, or messaging consent with third parties or affiliates for marketing or promotional purposes.

SMS delivery may be affected by carrier availability, mobile network conditions, message filtering, or other factors outside Norxio’s reasonable control. We do not guarantee that every SMS will be delivered immediately or at all.

4. Payments and currency exchange

When you instruct Norxio to make a payment, payout, transfer, or foreign exchange transaction, you authorise us and, where applicable, our partners to act on those instructions.

Before confirming a transaction, you are responsible for checking:

  • Beneficiary and recipient details
  • Payment amount and payment currency
  • Payment purpose and supporting information
  • Applicable fees, exchange rate, and quoted amount
  • Any estimated delivery timeline shown to you

Foreign exchange quotes may be time-limited and may expire if not accepted within the stated period. Rates, fees, and available payment routes may vary depending on market conditions, amount, currency pair, corridor, transaction type, customer pricing tier, or commercial agreement.

We will use reasonable efforts to process transactions in accordance with the information available at the time you submit them. Any quoted or displayed payment completion or settlement time is an estimate unless expressly stated otherwise in a binding written agreement.

Payments, payouts, and foreign exchange transactions may be delayed, rejected, held, reversed, or cancelled where:

  • Required information is missing, inaccurate, or inconsistent
  • Compliance, sanctions, fraud, anti-money laundering, or risk checks are required
  • A bank, payment partner, correspondent institution, receiving institution, or payment scheme delays or rejects the transaction
  • The transaction appears unlawful, prohibited, suspicious, or outside the permitted use of Norxio
  • Technical, operational, market, liquidity, or external events prevent or delay processing
  • We are required to do so by law, regulation, order, or partner instruction

You may not be able to cancel or amend a payment or currency exchange transaction after it has been submitted or executed. Where cancellation, recall, or amendment is possible, it may depend on the transaction stage, payment route, receiving institution, partner rules, and applicable fees.

Norxio is not responsible for losses caused by incorrect payment details, incomplete beneficiary information, inaccurate instructions supplied by you, expired foreign exchange quotes, or delays caused by third-party banks, financial partners, payment networks, sanctions screening, compliance review, or events outside our reasonable control, except where applicable law requires otherwise.

5. Fees

Fees for Norxio services may include, where applicable:

  • Subscription fees
  • Platform, account, or service fees
  • Payment, payout, or transfer fees
  • Foreign exchange margins or spreads
  • Wire, local payment, or corridor-specific charges
  • API, onboarding, support, or additional service charges
  • Third-party costs passed through where permitted

Fees may be:

  • Published on our Pricing page
  • Shown inside the platform before a transaction is confirmed
  • Set out in a proposal, order form, pricing schedule, or customer agreement
  • Agreed separately in writing

You are responsible for reviewing applicable fees before confirming a transaction or subscribing to a Norxio service.

Foreign exchange margins may vary by corridor, currency, payment size, pricing plan, risk profile, or commercial agreement. Third-party banks, correspondent institutions, receiving banks, and payment partners may deduct charges or impose additional costs outside Norxio’s control.

Unless otherwise stated, fees are non-refundable once the relevant service has been provided or the relevant transaction has been processed.

We may update our fees from time to time. Where required by law, contract, or applicable customer documentation, we will give notice before changes take effect.

6. What you must not do

You must not use Norxio, directly or indirectly, to:

  • Break any law, regulation, sanctions requirement, payment rule, or contractual obligation
  • Facilitate money laundering, terrorist financing, fraud, tax evasion, bribery, corruption, or other financial crime
  • Send or receive funds for sanctioned persons, sanctioned entities, or prohibited jurisdictions
  • Misrepresent your identity, business, ownership, transaction purpose, source of funds, or destination of funds
  • Use Norxio for personal consumer banking where you have only been approved for business use
  • Operate on behalf of an undisclosed third party or provide unauthorised money transmission, payment aggregation, or financial services
  • Interfere with, reverse engineer, overload, scrape, or misuse the Norxio platform, APIs, or systems
  • Circumvent security controls, compliance controls, transaction limits, or account restrictions

You must not use Norxio for prohibited or restricted activities, which may include, depending on our policies and partner requirements:

  • Gambling, betting, casinos, or unlicensed gaming
  • Cryptocurrency trading, crypto exchanges, or high-risk virtual asset activity unless expressly approved in writing
  • Firearms, weapons, ammunition, or explosives
  • Adult services, sexually explicit content, or related high-risk businesses
  • Illegal drugs, controlled substances, or unlawful pharmaceuticals
  • Dark web, illicit marketplaces, fraud services, or illegal e-commerce
  • Sanctions evasion, shell structures, or deceptive payment routing
  • Any other sector, jurisdiction, product, or transaction type prohibited by Norxio or its regulated partners

Norxio may request additional information or supporting documentation to assess whether a transaction or business activity is permitted.

7. Liability

You are responsible for losses, costs, claims, penalties, or expenses that arise from:

  • Your breach of these Terms and Conditions
  • False, inaccurate, incomplete, or misleading information you provide
  • Your failure to keep your account or security credentials secure
  • Unauthorised use of your account where you failed to notify us promptly after becoming aware of the issue
  • Your use of Norxio for prohibited, restricted, unlawful, or non-approved activities
  • Your failure to obtain proper authority from your business, customers, suppliers, or counterparties

Nothing in these Terms and Conditions limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.

To the extent permitted by law, Norxio is not liable for indirect, incidental, special, consequential, punitive, or exemplary losses, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or anticipated savings, arising from your use of or inability to use the services.

Where liability cannot be excluded, Norxio’s liability will be assessed in accordance with applicable law and any service-specific agreement governing the relevant service.

8. Our responsibility to you

Norxio will provide its services with reasonable care and skill and will take reasonable steps to operate the platform securely and in accordance with the service information made available to you.

We are responsible where applicable law makes us responsible, or where we fail to meet obligations that cannot lawfully be excluded.

However, Norxio is not responsible for losses or delays resulting from:

  • Your breach of these Terms and Conditions
  • Incorrect or incomplete instructions provided by you
  • Actions or failures of banks, payment partners, correspondents, network operators, telecoms providers, or other third parties outside our reasonable control
  • Compliance review, sanctions screening, fraud checks, or legally required holds
  • Market disruption, currency volatility, liquidity constraints, or payment corridor interruption
  • Events outside our reasonable control, including internet outages, cyber incidents affecting third parties, acts of government, war, civil unrest, natural disasters, or major infrastructure failure

Where a payment issue arises, we may help investigate, trace, or escalate the matter where reasonably possible, but successful recovery, recall, or correction is not guaranteed.

Your complaint will be reviewed by the relevant Norxio entity, support team, or service partner depending on the country, product, and nature of the issue.

Where your complaint concerns a regulated payment, account, foreign exchange, or money services activity delivered by or through a regulated partner or jurisdiction-specific Norxio entity, the relevant complaints process may be set out in:

  • The product-specific terms shown during onboarding
  • A service agreement or order form
  • A partner disclosure or customer communication
  • A jurisdiction-specific complaints notice

Your rights to escalate a complaint to a regulator, ombudsman, dispute-resolution body, or other external authority depend on the applicable jurisdiction, the contracting entity, the regulated partner involved, and the nature of the service. Where such escalation rights apply, we or the relevant provider will explain them in the applicable complaints process or final response.

10. Changes to these terms

We may update these Terms and Conditions from time to time to reflect changes in:

  • Our services, platform, pricing, or operating model
  • Applicable law, regulation, or regulatory guidance
  • Partner requirements or payment scheme rules
  • Security, fraud prevention, or compliance controls
  • Business, technical, or operational processes

Where a change is material, or where notice is required by law, contract, or applicable service documentation, we will provide appropriate notice before the change takes effect.

We may notify you through email, the Norxio platform, our website, or other reasonable communication channels. Continued use of Norxio after updated terms become effective will constitute acceptance of the revised Terms and Conditions, unless applicable law requires a different process.

11. Governing law

The law and jurisdiction governing these Terms may depend on the Norxio entity that contracts with you, the country in which the relevant service is offered, and any product-specific or jurisdiction-specific terms presented to you.

Unless a separate agreement, order form, service schedule, or local terms specify otherwise:

  • Services provided by Norxio Financial Limited are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction, subject to any mandatory rights under applicable law
  • Services provided by Norxio Financial LLC may be governed by the laws and dispute provisions stated in the relevant U.S. service documentation
  • Services provided by Norxio Financial Inc. may be governed by the laws and dispute provisions stated in the relevant Canadian service documentation

Nothing in these Terms limits any mandatory legal rights, regulatory protections, or dispute-resolution rights that apply in your jurisdiction.
